These Terms and Conditions ("Terms") govern access to and use of the EduGet360 enterprise software-as-a-service platform provided by Artifixel Consultancy LLP. By subscribing to, accessing, or using the Services, the Institution agrees to be bound by these Terms, the Privacy Policy, and any applicable Order Form or enterprise agreement.
Part I — Introduction
1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between Artifixel Consultancy LLP ("Artifixel", "EduGet360", "we", "us", or "our") and the educational institution or other entity subscribing to or using the EduGet360 platform ("Institution", "Customer", or "you").
EduGet360 is a multi-tenant software-as-a-service platform designed for educational administration, including academic management, attendance, examinations, fees, payroll, communications, reporting, integrations, and related institutional workflows.
These Terms govern access to and use of the Platform, including web applications, mobile applications, APIs, integrations, and related services (collectively, the "Services"). By executing an order, creating an account, accessing the Platform, or otherwise using the Services, the Institution agrees to be bound by these Terms.
These Terms should be read together with the EduGet360 Privacy Policy, any applicable Order Form, Data Processing Addendum, Service Level Agreement, or other written agreement executed between the parties.
2. Acceptance of Terms
2.1 By accessing or using the Services, the Institution represents and warrants that it has full legal authority to enter into and bind itself to these Terms.
2.2 Where an authorized representative creates an account, executes an order, or enables Users to access the Platform, such action constitutes acceptance of these Terms on behalf of the Institution.
2.3 Individual Users access the Platform under the authority of the Institution. Users must comply with these Terms, the Privacy Policy, and the Institution's internal policies.
2.4 If the Institution does not agree to these Terms, it must not access or use the Services.
2.5 Free trials, beta features, demonstrations, and evaluation access are also subject to these Terms unless otherwise agreed in writing.
3. Definitions
In these Terms, unless the context otherwise requires:
- "Applicable Law" means all applicable laws, regulations, rules, and regulatory guidance.
- "Authorized User" or "User" means an individual authorized by the Institution to access the Platform.
- "Beta Features" means pre-release or experimental functionality made available on a limited basis.
- "Branch" means a campus, location, or operational unit configured within an Institution's tenant.
- "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential.
- "Customer Content" or "Institution Data" means data, records, files, and content submitted to or generated through the Platform by or on behalf of the Institution.
- "Documentation" means user guides, technical documentation, and materials made available by EduGet360.
- "Order Form" means a written or electronic order, quotation, proposal, or subscription document specifying Services, fees, term, and applicable commercial terms.
- "Platform" means the EduGet360 software, applications, APIs, portals, integrations, and related infrastructure.
- "Subscription Term" means the period during which the Institution is authorized to use the subscribed Services.
- "Tenant" means the logically isolated environment assigned to an Institution within the multi-tenant Platform.
Part II — Platform and License
4. Description of Services
4.1 EduGet360 provides cloud-based software enabling Institutions to manage educational, administrative, financial, communication, and operational workflows.
4.2 The specific modules, features, user limits, storage limits, integrations, and support entitlements available to an Institution depend on its subscription plan, Order Form, and configuration.
4.3 EduGet360 may enhance, modify, or discontinue features from time to time, provided such changes do not materially diminish the core subscribed Services during an active paid Subscription Term, except as permitted elsewhere in these Terms.
4.4 The Platform is provided as a hosted service. Except as expressly stated in a separate written agreement, no software is delivered to the Institution for on-premises installation.
5. SaaS Subscription and License Grant
5.1 Subject to payment of applicable fees and compliance with these Terms, EduGet360 grants the Institution a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the Subscription Term solely for the Institution's internal educational and administrative purposes.
5.2 The license is granted only to the Institution and its Authorized Users and only for the number of users, branches, modules, and usage limits specified in the applicable Order Form or subscription plan.
5.3 No ownership interest in the Platform, software, Documentation, or related intellectual property is transferred to the Institution under these Terms.
6. License Restrictions
The Institution shall not, and shall not permit any User or third party to:
- copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Platform except as expressly permitted by Applicable Law;
- sell, resell, rent, lease, sublicense, distribute, or make the Services available to any third party except as expressly authorized;
- use the Services to develop a competing product or service;
- circumvent access controls, security measures, usage limits, or authentication mechanisms;
- scrape, harvest, or systematically extract data from the Platform except through authorized export or API functionality;
- introduce malware, malicious code, or harmful content into the Platform;
- use the Services in violation of Applicable Law, third-party rights, or these Terms;
- access another Institution's tenant or data without authorization.
7. Trial Accounts and Beta Features
7.1 Trial Accounts
EduGet360 may offer free or discounted trial access. Trial Services are provided "as is" without warranty and may be limited in functionality, support, or duration.
EduGet360 may suspend or terminate trial access at any time. Data entered during a trial may be deleted upon expiration unless the Institution converts to a paid subscription within any applicable grace period.
7.2 Beta Features
Beta Features are provided for evaluation purposes only, may contain defects, and may be modified or withdrawn at any time.
The Institution uses Beta Features at its own risk. Beta Features are excluded from any service level commitment unless expressly stated otherwise in writing.
Part III — Accounts
8. Institution Accounts
8.1 Each subscribing Institution is provisioned with a dedicated tenant within the Platform.
8.2 The Institution is responsible for all activity occurring under its tenant, whether or not such activity is authorized.
8.3 The Institution must provide accurate registration, billing, and administrative information and keep such information current.
8.4 The Institution designates one or more administrators responsible for user management, permissions, configuration, and compliance with these Terms.
9. User Accounts, Roles and Permissions
9.1 Authorized Users may include administrators, teachers, staff, students, parents, and other roles configured by the Institution.
9.2 The Institution controls role assignment, permissions, branch access, and module visibility within its tenant.
9.3 Users may access only the data and functionality permitted by their assigned role and Institution configuration.
9.4 The Institution must promptly disable access for Users who are no longer authorized to use the Platform.
10. Account Security
10.1 The Institution and each User are responsible for maintaining the confidentiality of login credentials, authentication tokens, and administrative access.
10.2 The Institution must implement reasonable internal controls to prevent unauthorized account sharing, credential misuse, and privilege escalation.
10.3 The Institution must notify EduGet360 promptly upon becoming aware of any unauthorized access, credential compromise, or suspected security incident affecting the Platform.
10.4 EduGet360 may suspend access where it reasonably believes an account has been compromised or is being used in violation of these Terms.
Part IV — Subscriptions
11. Subscription Plans
11.1 Subscription plans may vary by module availability, user limits, branch limits, storage, support level, integration access, and other commercial parameters.
11.2 Plan entitlements are described in the applicable Order Form, pricing page, proposal, or subscription documentation.
11.3 Upgrades, downgrades, and add-on modules take effect as specified in the Order Form or as otherwise agreed in writing.
12. Billing, Taxes and Payment Terms
12.1 Fees are due in accordance with the billing cycle specified in the Order Form or subscription documentation.
12.2 All fees are exclusive of applicable taxes, duties, levies, and withholdings, which are the Institution's responsibility unless otherwise stated.
12.3 Late payments may accrue interest or result in suspension as permitted by Applicable Law and the Order Form.
12.4 Fees are non-refundable except as expressly provided in writing or required by Applicable Law.
12.5 EduGet360 may revise pricing for renewal terms upon notice in accordance with these Terms and the Order Form.
13. Renewals, Suspension and Cancellation
13.1 Renewals
Unless otherwise specified in the Order Form, subscriptions renew for successive terms under the then-current pricing and terms, unless either party provides notice of non-renewal within the period specified in the Order Form.
13.2 Suspension for Non-Payment or Breach
EduGet360 may suspend access to the Services if fees are overdue, the Institution materially breaches these Terms, or suspension is necessary to protect the Platform, other customers, or Applicable Law compliance.
13.3 Cancellation by Institution
The Institution may cancel in accordance with the Order Form. Cancellation does not relieve the Institution of payment obligations accrued prior to the effective cancellation date.
13.4 Effect of Non-Renewal or Cancellation
Upon expiration or termination, access to the Services will cease except as expressly provided in these Terms regarding data export and retention.
Part V — Platform Usage
14. Acceptable Use and Prohibited Activities
14.1 The Institution shall use the Services only for lawful institutional purposes and in compliance with Applicable Law, these Terms, and the Privacy Policy.
14.2 Without limitation, the Institution shall not use the Services to:
- upload unlawful, defamatory, infringing, abusive, or harmful content;
- process data without appropriate authority, notice, or consent;
- interfere with Platform operation, security, or performance;
- attempt unauthorized access to systems, accounts, or data;
- send spam, unsolicited communications, or malicious messages through integrated channels;
- store or transmit content violating intellectual property or privacy rights;
- use the Services for unauthorized surveillance or profiling in violation of Applicable Law.
14.3 EduGet360 may investigate suspected violations and cooperate with law enforcement or regulators where required.
15. Fair Usage, Storage Limits, API and Developer Access
15.1 Fair Usage
The Institution must not use the Services in a manner that unreasonably burdens Platform infrastructure, including excessive automated requests, abusive API usage, or activity materially exceeding normal institutional usage patterns for the subscribed plan.
15.2 Storage Limits
Storage, file upload, and retention limits may apply based on subscription plan. EduGet360 may require plan upgrades where usage exceeds entitlements.
15.3 API Usage
API access, if enabled, is subject to authentication requirements, rate limits, Documentation, and acceptable use restrictions. EduGet360 may throttle or suspend API access that threatens Platform stability or security.
15.4 Developer Access
Developer credentials, sandbox environments, and integration keys must be kept confidential. The Institution is responsible for all activity conducted using its API credentials.
Part VI — Data
16. Institution Data Ownership and Processing
16.1 As between the parties, the Institution retains all right, title, and interest in Institution Data.
16.2 The Institution grants EduGet360 a limited license to host, process, transmit, display, and otherwise use Institution Data solely to provide, maintain, secure, and improve the Services, comply with Applicable Law, and fulfill contractual obligations.
16.3 The Institution represents and warrants that it has all necessary rights, consents, and authority to submit Institution Data to the Platform and to authorize EduGet360 to process such data in accordance with these Terms.
16.4 For personal data processed on behalf of the Institution, the parties' respective roles as Data Fiduciary and Data Processor shall be as described in the Privacy Policy and any applicable Data Processing Addendum.
17. Privacy, Data Export, Deletion and Backup
17.1 Privacy
EduGet360's collection and use of personal data is described in the Privacy Policy. The Institution is responsible for providing required notices and obtaining required consents from Data Principals.
17.2 Data Export
During an active Subscription Term, the Institution may export Institution Data using available Platform tools or support-assisted processes, subject to technical feasibility and subscription entitlements.
17.3 Data Deletion
Following termination or expiration, EduGet360 will delete or return Institution Data in accordance with the Order Form, Privacy Policy, and Applicable Law, except where retention is required for legal, billing, audit, or backup purposes.
17.4 Backup Policy
EduGet360 maintains backup and disaster recovery practices intended to support service resilience. Backups are for operational continuity and do not replace the Institution's obligation to maintain its own records where required by Applicable Law.
Part VII — Special Services
18. AI Services
18.1 Certain modules may include artificial intelligence or machine-learning assisted functionality ("AI Services").
18.2 AI Services are optional or configurable unless expressly included in the subscribed plan.
18.3 AI outputs may be inaccurate, incomplete, biased, or inappropriate. The Institution must review AI outputs before relying on them for academic, administrative, employment, financial, disciplinary, or legal decisions.
18.4 AI Services do not provide legal, medical, financial, or professional advice.
18.5 Unless otherwise agreed in writing, EduGet360 does not use Institution Data to train public or cross-customer foundation models.
18.6 The Institution is responsible for ensuring that its use of AI Services complies with Applicable Law and institutional policy.
19. Biometric and ADMS Services
The Platform may support integration with biometric attendance devices and Attendance Device Management System ("ADMS") or similar device communication protocols.
EduGet360 provides software integration and data processing capabilities only. The Institution remains solely responsible for biometric hardware, deployment, enrollment, legal compliance, and operational verification.
19.1 Scope of ADMS Integration
ADMS integration enables attendance events, device registration, synchronization, and related metadata to be transmitted from supported devices to the Platform. Supported protocols, device models, and firmware versions are described in Documentation and may change from time to time.
19.2 Supported and Unsupported Devices
EduGet360 may publish a compatibility list of supported devices and firmware versions. Devices not listed, discontinued devices, modified firmware, or non-standard configurations are unsupported and may fail to synchronize or may produce unreliable data.
19.3 Device Procurement and Maintenance
The Institution is responsible for procurement, installation, calibration, maintenance, repair, replacement, and firmware updates of biometric devices and local networking equipment.
19.4 Attendance Synchronization
Attendance records are synchronized based on device connectivity, network availability, configured polling intervals, and Platform processing rules. Delays, partial syncs, and queue backlogs may occur.
19.5 Duplicate Punches
Duplicate or repeated punches may occur due to device behaviour, user error, configuration settings, or synchronization retries. The Institution is responsible for reviewing and correcting attendance records before approval or payroll use.
19.6 Missing Punches
Missing punches may occur due to device offline status, network failure, power failure, enrollment issues, sensor errors, user absence, or misconfiguration. EduGet360 does not guarantee capture of every attendance event.
19.7 Clock and Timezone Mismatch
Incorrect device clock settings, timezone misconfiguration, daylight saving changes, or server-device time drift may cause attendance timestamps to appear incorrect. The Institution must maintain accurate device time settings and review anomalies.
19.8 Offline Devices and Internet Outages
Devices may store punches locally while offline and transmit them when connectivity resumes. Extended outages may result in delayed synchronization, buffer overflow, or data loss depending on device capacity and configuration.
19.9 Device Failures
Hardware failures, damaged sensors, storage corruption, and firmware defects may prevent attendance capture or transmission. EduGet360 is not responsible for device hardware performance or manufacturer defects.
19.10 Manual Corrections
The Platform may allow authorized Users to manually add, edit, approve, or reject attendance records. All manual corrections and approvals remain the Institution's responsibility.
19.11 Payroll and Attendance Disclaimer
Attendance data processed through ADMS integration is provided for institutional workflow support only. EduGet360 does not approve attendance, compute final payroll, authorize salary payments, or verify employment decisions. The Institution must independently validate attendance and payroll outcomes before disbursement or disciplinary action.
19.12 Data Accuracy Disclaimer
EduGet360 relies on data transmitted by devices and the Institution. EduGet360 does not guarantee the accuracy, completeness, timeliness, or integrity of biometric attendance data and shall not be liable for errors arising from device behaviour, network conditions, configuration, or Institution approvals.
20. Third-Party Integrations and Communication Services
20.1 The Platform may integrate with third-party services including messaging providers, email services, payment gateways, identity providers, cloud services, mapping or GPS services, biometric vendors, and other external systems.
20.2 The Institution is responsible for selecting, authorizing, configuring, and complying with the terms of third-party services it enables.
20.3 EduGet360 is not responsible for outages, delivery failures, policy changes, pricing changes, account suspensions, or service degradation caused by third-party providers, including WhatsApp, MSG91, email providers, payment gateways, Google APIs, Microsoft APIs, biometric vendors, GPS vendors, and cloud infrastructure providers.
20.4 Communication Services enabled through the Platform are conduits only. The Institution is responsible for message content, recipient consent, regulatory compliance, and delivery outcomes.
21. Payment Gateway Services
21.1 Where payment collection features are enabled, payments may be processed through third-party payment gateways.
21.2 EduGet360 does not hold Institution fee funds except as expressly stated in a separate written arrangement.
21.3 The Institution is responsible for merchant accounts, settlement, refunds, chargebacks, reconciliation, and compliance with payment regulations.
21.4 Transaction failures, gateway downtime, and reconciliation discrepancies must be resolved between the Institution and the payment provider.
Part VIII — Security
22. Security Measures and Shared Responsibility
22.1 Security Measures
EduGet360 implements administrative, technical, and organizational measures designed to protect the Platform and Institution Data, which may include encryption in transit, access controls, tenant isolation, audit logging, monitoring, and vulnerability management.
22.2 Shared Responsibility Model
Security is a shared responsibility. The Institution is responsible for secure user provisioning, credential management, endpoint security, local network security, device security, integration credentials, and internal approval workflows.
22.3 Incident Response
EduGet360 will use commercially reasonable efforts to investigate and respond to confirmed security incidents affecting the Platform in accordance with Applicable Law and internal procedures. The Institution must cooperate with reasonable investigation and remediation requests.
Part IX — Support
23. Technical Support, Maintenance and Service Availability
23.1 Technical Support
Support channels, response targets, and entitlements depend on the subscribed plan and Order Form. Unless otherwise stated, support is limited to the Platform and excludes unsupported devices, third-party systems, and custom development.
23.2 Maintenance Windows
EduGet360 may perform scheduled maintenance, updates, and infrastructure changes. Where practicable, planned maintenance will be announced in advance.
23.3 Service Availability
EduGet360 uses commercially reasonable efforts to maintain availability of the Platform but does not guarantee uninterrupted or error-free operation.
23.4 Service Level Agreement
Any uptime commitment, service credit, or service level remedy applies only if expressly set out in a signed Service Level Agreement or Order Form. In the absence of such agreement, no SLA applies.
Part X — Legal
24. Intellectual Property and Customer Content
24.1 EduGet360 and its licensors retain all right, title, and interest in the Platform, software, Documentation, trademarks, service marks, logos, and all related intellectual property.
24.2 Except for the limited license granted in these Terms, no rights are granted by implication, estoppel, or otherwise.
24.3 The Institution retains ownership of Institution Data and grants EduGet360 only the limited rights necessary to provide the Services.
25. Feedback, Confidentiality and Open Source
25.1 Feedback
If the Institution provides suggestions, ideas, or feedback regarding the Services, EduGet360 may use such feedback without restriction or compensation.
25.2 Confidentiality
Each party shall protect the other party's Confidential Information using reasonable care and use it only for purposes of performing under these Terms.
25.3 Open Source Components
The Platform may include open source software subject to separate license terms. To the extent required, such licenses govern the applicable components.
Part XI — Warranties
26. Warranties and Disclaimers
26.1 EXCEPT AS EXPRESSLY SET OUT IN A WRITTEN ORDER FORM OR ENTERPRISE AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE".
26.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUGET360 DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.
26.3 EDUGET360 DOES NOT WARRANT THAT THE SERVICES WILL MEET THE INSTITUTION'S REQUIREMENTS, PRODUCE SPECIFIC EDUCATIONAL OUTCOMES, OR OPERATE WITHOUT ERROR.
26.4 THE INSTITUTION IS SOLELY RESPONSIBLE FOR DECISIONS RELATING TO ADMISSIONS, EXAMINATIONS, GRADING, PROMOTIONS, DISCIPLINE, FEES, PAYROLL, ATTENDANCE APPROVAL, AND OTHER INSTITUTIONAL OUTCOMES.
26.5 EDUGET360 DOES NOT GUARANTEE THE ACCURACY OF FEE CALCULATIONS WHERE THE INSTITUTION HAS CONFIGURED, APPROVED, OR OVERRIDDEN SUCH CALCULATIONS.
26.6 AI SERVICES AND BIOMETRIC ATTENDANCE DATA ARE PROVIDED WITHOUT WARRANTY OF ACCURACY, COMPLETENESS, OR SUITABILITY FOR ANY PARTICULAR PURPOSE.
Part XII — Liability
27. Limitation of Liability and Indemnification
27.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUGET360'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY THE INSTITUTION TO EDUGET360 FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
27.2 Indemnification by Institution
The Institution shall defend, indemnify, and hold harmless EduGet360, its partners, and personnel from claims, losses, damages, liabilities, costs, and expenses arising out of or relating to:
- Institution Data or Customer Content;
- the Institution's use of the Services in violation of these Terms or Applicable Law;
- the Institution's integrations, configurations, approvals, or institutional decisions;
- failure to obtain required consents, notices, or authorizations;
- disputes with students, parents, employees, or third parties relating to Institution operations.
27.3 Force Majeure
Neither party shall be liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, internet or telecommunications failures, utility failures, government actions, or third-party service outages, except that payment obligations shall not be excused.
Part XIII — Termination
28. Suspension and Termination
28.1 Suspension
EduGet360 may suspend the Services immediately for non-payment, security risk, suspected unlawful activity, material breach, or to protect the Platform or other customers.
28.2 Termination
Either party may terminate as provided in the Order Form. EduGet360 may terminate for uncured material breach after notice where cure is possible.
28.3 Effect of Termination
Upon termination or expiration, the Institution's license ends and access to the Services ceases, subject to applicable data export and retention provisions.
28.4 Surviving Clauses
Sections relating to fees owed, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions intended by their nature to survive shall survive termination.
Part XIV — General and EduGet360 Specific Terms
29. Multi-Tenant Architecture
29.1 The Platform operates on a multi-tenant architecture in which each Institution is assigned a logically isolated tenant.
29.2 Institutions may configure branches, institutions, roles, and permissions within their tenant subject to subscription entitlements.
29.3 The Institution remains the owner and controller of Institution Data within its tenant, subject to these Terms and Applicable Law.
29.4 EduGet360 implements technical controls designed to segregate tenant data. The Institution must not attempt to access or extract data belonging to other tenants.
30. School Management Disclaimers
30.1 The Services provide software tools only. EduGet360 does not operate the Institution, employ its staff, admit students, conduct examinations, award grades, approve promotions, impose discipline, or administer payroll.
30.2 The Institution is solely responsible for all academic, administrative, financial, employment, and disciplinary outcomes arising from its use of the Services.
30.3 Configurable rules, workflows, calculations, and reports are based on Institution inputs and settings. The Institution must validate outputs before relying on them.
31. Future Modules and Services
31.1 EduGet360 may introduce additional modules, applications, mobile applications, APIs, integrations, artificial intelligence capabilities, marketplace services, developer services, or other functionality from time to time.
31.2 Unless otherwise specified in a separate written agreement, such services shall be governed by these Terms.
31.3 New functionality may be included in existing plans, offered as add-ons, or made available under separate pricing at EduGet360's discretion.
32. Custom Development
32.1 Feature Requests and Custom Modules
The Institution may request custom features, integrations, reports, or modules. Acceptance of any custom development is subject to separate scoping, pricing, timeline, and written agreement.
32.2 Ownership
Unless otherwise agreed in writing, EduGet360 retains ownership of the Platform and all generic software, frameworks, libraries, and reusable components developed in connection with custom work.
32.3 Source Code and Deliverables
No source code, object code, or underlying Platform components are delivered to the Institution unless expressly stated in a signed custom development agreement.
32.4 Change Requests and Support Scope
Change requests, enhancements, and post-delivery modifications may require additional scoping and are subject to additional fees. Custom deliverables are supported only as specified in the applicable statement of work.
33. Integration Dependencies
33.1 The Institution acknowledges that certain features depend on third-party services and infrastructure outside EduGet360's control.
33.2 EduGet360 shall not be liable for failures, delays, or data loss caused by third-party providers, including messaging platforms, SMS gateways, email providers, payment gateways, cloud providers, biometric vendors, GPS services, identity providers, and device manufacturers.
33.3 The Institution is responsible for maintaining valid accounts, credentials, and contractual relationships with third-party providers it chooses to integrate.
34. Enterprise Agreements
34.1 If an Institution executes a separate Master Services Agreement ("MSA"), Order Form, Enterprise Agreement, Data Processing Addendum, or other written commercial agreement with EduGet360, the terms of that agreement shall prevail over these Terms to the extent of any conflict.
34.2 In the absence of such written agreement, these Terms constitute the entire commercial agreement governing standard subscription access to the Services.
35. General Provisions
35.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
35.2 Arbitration
Any dispute arising out of or relating to these Terms shall be referred to arbitration in Hyderabad, Telangana, in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by EduGet360. The language of arbitration shall be English.
35.3 Jurisdiction
Subject to the arbitration clause above, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over matters arising under these Terms.
35.4 Assignment
The Institution may not assign these Terms without EduGet360's prior written consent. EduGet360 may assign these Terms in connection with a merger, acquisition, or sale of assets.
35.5 Severability
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
35.6 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form or written agreement, constitute the entire agreement between the parties regarding the Services.
35.7 Amendments
EduGet360 may amend these Terms by posting an updated version on the Platform or notifying the Institution. Continued use after the effective date constitutes acceptance, except where Applicable Law requires otherwise.
